Welcome to the NOUSS AI Library. These Terms of Service (“Terms”) explain the rules for accessing and using the NOUSS AI Library website, resource library, and related services (together, the “Service”). The Service is provided by [LEGAL ENTITY NAME] (“NOUSS,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. Accounts and Eligibility
You must be at least [MINIMUM AGE — CONFIRM, E.G., 18] years old and able to enter into a binding agreement to create an account or purchase a membership. You agree to provide accurate account information, keep it updated, protect access to your sign-in email and accounts, and notify us at isaiah@nouss.digital if you believe your account has been used without permission.
Unless we expressly offer a team or organization plan, an individual account is for the registered account holder. You may not sell, transfer, or share account access with another person.
2. Our Resources and Services
The NOUSS AI Library offers educational and productivity resources, which may include prompts, skills, workflows, tutorials, instructions, examples, downloadable files, and related materials. Availability and content may vary over time and by membership plan. Some resources depend on third-party AI tools or software that we do not provide or control.
We may add, revise, replace, or retire resources to maintain the library. We do not guarantee that every resource will remain available in its original form or that a third-party tool will continue to support it.
3. Free, Pro, and Founding Memberships
A Free account grants access to the resources identified as Free at the time you use the Service. A paid Pro subscription grants access to the Pro resources included in that plan while the subscription is active.
If offered, a Founding Membership provides access to the Pro library covered by the terms displayed at purchase, for the lifetime of that covered library, without a recurring Pro subscription fee. “Lifetime” refers to the duration for which that covered library continues to be offered by us. It is not a guarantee that the NOUSS AI Library or a particular product will exist indefinitely.
A Founding Membership does not automatically include future separately priced products, Premium plans, managed services, custom implementations, integrations, or other offerings that are expressly excluded at checkout.
The purchase confirmation and plan information displayed at checkout are part of the description of the membership you buy. If those details materially differ from these general Terms, please contact us before purchasing.
4. Payments, Renewals, and Cancellation
Prices and any applicable taxes are displayed before checkout. Pro subscriptions renew according to the billing frequency disclosed at purchase unless you cancel before the next renewal date. You authorize the payment processor to charge the payment method associated with your subscription for the applicable fees.
You can cancel future renewals from Billing & Membership or by contacting isaiah@nouss.digital. Cancellation stops future recurring charges but generally does not end access before the close of the paid billing period. Refund eligibility is governed by our Refund Policy and applicable law.
We may change subscription prices or plans in the future. If a change affects an existing recurring subscription, we will provide any notice required by law before it takes effect. Any new price will be disclosed before you agree to a new purchase.
5. Your License to Use Resources
Subject to your compliance with these Terms and the access rights of your membership, we grant you a limited, nonexclusive, nontransferable license to access and use our resources for your own work or your internal business activities. You may customize prompts and use outputs created through your independent use of supported AI tools in your business, subject to those tools' terms and applicable law.
You may not resell, sublicense, republish, distribute, or upload substantial portions of the resource library as a competing library, template collection, course, or subscription product without our written permission. You may not share restricted resources with people who do not have the required access. [CONFIRM ANY TEAM-LICENSE EXCEPTIONS BEFORE PUBLICATION.]
6. Responsible Use and Your Obligations
You are responsible for the information you provide to any AI tool and for the way you use the resulting content. Review all output carefully before relying on it, publishing it, or sharing it with clients. You must comply with applicable laws, professional obligations, third-party software terms, intellectual property rights, confidentiality requirements, and real estate advertising and fair housing rules where applicable.
Do not submit confidential client information, private transaction records, financial account information, or sensitive personal data to third-party tools unless you have a lawful basis and appropriate safeguards for doing so.
You may not use the Service to violate the rights of others, attempt unauthorized access, disrupt the Service, or scrape, circumvent, or abuse access restrictions.
7. AI Limitations and No Professional Advice
Library resources are provided for educational and productivity purposes. They are not legal, tax, accounting, appraisal, brokerage, investment, or other regulated professional advice. Using a resource does not establish a professional-client relationship with us.
AI tools can generate incorrect, misleading, incomplete, or outdated material. We do not independently verify every output generated through third-party AI services. You are responsible for confirming material information and consulting qualified professionals when needed.
8. Third-Party Tools and Services
Some resources reference or rely on external platforms such as AI assistants, automation services, and other software. Those platforms have their own terms, privacy policies, pricing, and technical requirements. Unless expressly stated, your membership does not include a subscription to any third-party platform. We are not responsible for external service availability or changes to their products.
9. Intellectual Property
The NOUSS AI Library website, brand, original resource content, and other materials made available through the Service are owned by us or our licensors and protected by applicable intellectual property laws. Except for the limited rights granted in these Terms, no rights are transferred to you.
You retain any rights you have in content that you lawfully provide. Rights in AI-generated output may depend on applicable law and the terms of the AI tool used to generate it.
10. Service Availability and Warranties
We work to keep the Service useful and accessible, but we do not promise uninterrupted operation, error-free resources, or particular business results. To the extent permitted by applicable law, the Service is provided on an “as available” and “as is” basis without warranties beyond those expressly stated in these Terms. Nothing in these Terms limits consumer rights that cannot legally be excluded.
11. Limits of Liability
To the maximum extent permitted by applicable law, [LEGAL ENTITY NAME] and its personnel will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of revenue, profits, data, or business opportunities. [COUNSEL TO CONFIRM ANY MONETARY LIABILITY CAP, EXCLUSIONS, AND LOCAL-LAW REQUIREMENTS.]
12. Suspension or Termination
We may suspend or restrict access where reasonably necessary to investigate suspected fraud, misuse, security incidents, or material violations of these Terms. We may terminate access for a material breach, subject to applicable law. You may stop using your account or request deletion through the account settings or by contacting support. Subscription cancellation and account deletion are separate actions.
13. Changes to These Terms
We may update these Terms to reflect changes to our Service, legal requirements, or business operations. The updated version will show a revised effective date. If a change materially affects existing paid memberships, we will provide notice as required by law. Continued use after the new Terms take effect constitutes acceptance where legally permitted.
14. Governing Law and Disputes
These Terms are governed by the laws of [GOVERNING JURISDICTION], subject to mandatory consumer protections that may apply in your location. [COUNSEL TO CONFIRM DISPUTE PROCESS, VENUE, AND ANY REQUIRED CONSUMER DISCLOSURES.]
